CALGARY, ALBERTA -- (Marketwire) -- 01/30/13 -- Genoil Inc. ("Genoil" or the "Corporation") (TSX VENTURE:GNO) (OTCBB:GNOLF) announces plans to raise up to $485,012 through a non-brokered private placement of up to 8,083,533 common shares at a price of $0.06 per common share. The securities to be issued in connection with this offering are subject to a hold period.
Proceeds from the private placement will be used for general working capital purposes and repayment of debt. The private placement is subject to the approval of the TSX Venture Exchange.
Genoil also announces that, subject to approval from the TSX Venture Exchange, it proposes to issue 4,100,000 common shares at a deemed price of $0.06 Cdn per share as part of shares for debt settlement agreements with certain parties for consulting services performed. The total amount of indebtedness settled in this regard will be $246,000 Cdn. The shares issued in connection with the settlement of this debt are subject to relevant hold periods from their date of issuance. It is proposed that 500,000 common shares will be issued to an insider of Genoil.
Genoil reports that the board of directors of the Corporation (the "Board") has approved the grant of incentive stock options to new directors of the Corporation and an outside consultant. The Board has approved the grant of an aggregate of 4,800,000 options to acquire common shares of the Corporation at an exercise price of $0.10. Of the 4,800,000 options approved for grant, 2,000,000 will be granted to new directors of the Corporation for their future efforts in the coming fiscal year
